Beacon Pilot Terms of Service

1. Agreement to Terms

Welcome to beaconpilot.ca (the "Site"), operated by Beacon Pilot ("Beacon Pilot," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Site and any content, information, or materials displayed thereon (collectively, the "Site Content").

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site.

These Terms apply to the use of the Site only. The provision of consulting services by Beacon Pilot to its clients is governed by separate written agreements ("Client Agreements"). In the event of any conflict between these Terms and a Client Agreement, the Client Agreement shall prevail with respect to the subject matter of that agreement.

2. Use of the Site

Permitted Use: Beacon Pilot grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Site Content solely for your internal informational purposes related to evaluating or engaging our services.

Prohibited Conduct: You agree not to:

  • Use the Site or Site Content for any illegal or unauthorized purpose.
  • Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Site Content.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained on the Site.
  • Use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index any portion of the Site or Site Content.
  • Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.
  • Interfere with or disrupt the integrity or performance of the Site.
  • Attempt to gain unauthorized access to the Site or its related systems or networks.

3. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, as well as methodologies or frameworks described) are owned by Beacon Pilot, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Beacon Pilot name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Beacon Pilot or its affiliates or licensors. You must not use such marks without the prior written permission of Beacon Pilot. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

4. Client Data

Any data, information, or materials provided by clients to Beacon Pilot in the course of receiving consulting services ("Client Data") remains the property of the client. The handling, confidentiality, use, and security of Client Data are governed exclusively by the applicable Client Agreement and our Privacy Policy.

5. Disclaimers

  • Website "As Is": The Site and Site Content are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Beacon Pilot disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • No Guarantee of Accuracy: While we strive to provide accurate information, Beacon Pilot does not warrant that the Site Content is accurate, complete, reliable, current, or error-free.
  • No Professional Advice: The Site Content is provided for general informational purposes only. It does not constitute technical, strategic, financial, legal, or other professional advice. You should not rely upon the Site Content as a basis for making any business, legal, or other decisions without consulting with a qualified professional or engaging our services under a formal Client Agreement. Use of any information or methodologies described on the Site is at your own risk.
  • No Guarantee of Results: Beacon Pilot makes no representations or warranties regarding the results or outcomes that may be achieved through the application of methodologies or information presented on the Site. Results from our consulting services depend on numerous factors specific to each client engagement, as outlined in Client Agreements.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEACON PILOT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY SITE CONTENT, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. LIABILITY RELATED TO SERVICES PROVIDED UNDER A CLIENT AGREEMENT IS GOVERNED BY THAT AGREEMENT.

7. Indemnification

You agree to defend, indemnify, and hold harmless Beacon Pilot, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site Content other than as expressly authorized in these Terms.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

We retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your jurisdiction of residence or any other relevant jurisdiction. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

10. Term and Termination

These Terms remain in effect while you use the Site. We may terminate or suspend your access to all or part of the Site at any time, with or without notice, for any reason, including, without limitation, any violation of these Terms.

11. Modifications to Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, such as by updating the "Last Updated" date at the top of these Terms. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms.

12. Miscellaneous

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Beacon Pilot regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
